Terms of Service

Last updated: September 10, 2026

These Terms of Service ("Terms") govern your access to and use of the Sip Trip mobile application (the "Service") operated by [COMPANY LEGAL NAME], a Florida limited liability company ("Company," "we," or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any local, state, or national law;
  • Attempt to circumvent, disable, or otherwise tamper with the 21+ age gate;
  • Scrape, harvest, or extract data from the Service through automated means;
  • Harass, threaten, or impersonate other users;
  • Submit false, misleading, or fraudulent information;
  • Interfere with the proper functioning of the Service or its servers; or
  • Use the Service to plan or facilitate any activity that would harm a venue, its patrons, or the public.

2. Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

3. Age Restriction / Eligibility

The Service is intended solely for individuals who are 21 years of age or older. By using the Service, you represent and warrant that you are at least 21 years old. When you indicate that you are under 21, your access will be restricted and the device's IP address may be blocked from further access to prevent underage use. Providing false information about your age is a violation of these Terms and may result in permanent termination of your account.

4. User-Generated Content

You may contribute content to the Service, including trip notes, drink reviews, and custom drink recipes ("User Content"). You retain ownership of your User Content. By submitting it, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute that content within the Service. You represent that you have the right to submit your User Content and that it does not violate any law or third-party right. We reserve the right to remove or moderate any User Content that we believe violates these Terms or is otherwise objectionable.

5. Intellectual Property

The Service, including its design, software, trademarks, and curated content, is the property of the Company and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

6. No Warranty / Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. BAR LOCATIONS, HOURS, AND NAVIGATION DATA MAY BE INACCURATE, OUTDATED, OR INCOMPLETE. YOU SHOULD ALWAYS VERIFY VENUE DETAILS AND NEVER RELY SOLELY ON THE SERVICE FOR SAFETY OR TRANSPORTATION DECISIONS. WE DO NOT WARRANT THAT ANY BAC CALCULATION OR SAFETY FEATURE IS ACCURATE OR A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR FREE USERS, THIS MEANS NO MONETARY RECOVERY IS AVAILABLE. [ATTORNEY NOTE: Confirm whether a nominal minimum cap (e.g., $1 or $100) is required for free users under applicable law.]

8. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms or any law, your infringement of any third-party right, or your User Content submitted to the Service.

9. Suspension / Termination

We may suspend or terminate your account at any time, with or without cause, including for violations of these Terms, age-gate violations, or abusive behavior. Upon termination, all licenses granted to you under these Terms cease immediately. You may stop using the Service at any time.

10. Third-Party Links / Services

The Service may link to or embed third-party services, including bars and venues, mapping and navigation providers, and rideshare platforms. We are not responsible for the content, accuracy, or practices of these third parties. Your interactions with third-party services are solely between you and that provider.

11. Payment / Refund Terms

The Service offers paid subscription tiers and one-time in-app purchases. By purchasing a subscription or in-app purchase, you authorize us to charge the applicable fees through the app store or payment processor you select (Apple App Store, Google Play, or our payment partner, "Base44 Payments").

Subscriptions. Subscription fees are billed on a recurring basis (monthly or annually, depending on the tier you select) until you cancel. You may cancel at any time; cancellation stops future billing but does not refund the current billing period. You continue to have access until the end of the period you have already paid for.

In-App Purchases. One-time purchases are charged immediately and grant access to the purchased feature or upgrade. Unless required by law, one-time purchases are non-refundable.

Refunds. Refunds for subscriptions and in-app purchases are governed by the terms of the platform through which you purchased (Apple App Store or Google Play). For purchases processed directly through Base44 Payments, you may request a refund by contacting us at [SUPPORT EMAIL] within [REFUND WINDOW, e.g., 14] days of the charge. Refunds are evaluated on a case-by-case basis and are not guaranteed.

Price Changes. We may change our fees with reasonable advance notice. Price changes take effect at the start of your next billing cycle after the notice.

12. Changes to the Service

We may modify, suspend, or discontinue any feature of the Service at any time. We are not liable to you for any modification, suspension, or discontinuance of the Service.

13. Changes to the Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app or by other reasonable means. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in Collier County, Florida, and you consent to the personal jurisdiction of those courts.

15. Dispute Resolution

[ATTORNEY NOTE: Decide with counsel whether to include binding arbitration and a class-action waiver here. If included, specify the arbitration provider, the governing rules, and the location of arbitration, and include an explicit opt-out mechanism if required.]

16. Notices

We will provide legal notices to you by posting them in the app, sending them to the email associated with your account, or by other reasonable means. You may send notices to us at [COMPANY ADDRESS] or [SUPPORT EMAIL].

17. Severability

If any provision of these Terms is held to be unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Data Protection Policy, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements.

Sip Trip is for adults 21+. Please drink responsibly.
